Introduction
Welcome to Zirio Driver App! These Terms and Conditions ("Terms") govern your access to and use of the Zirio Driver App mobile application ("App"), operated by Zirio Logistics Corp ("Zirio," "we," "our," or "us"). Zirio Logistics Corp is incorporated in Delaware and registered in Texas.
By downloading, accessing, or using the App, you agree to these Terms. If you do not agree, please do not use the App.
Eligibility
You must be at least 18 years old and legally capable of forming a binding contract. By using the App, you represent and warrant that you meet these requirements.
Use of the App
Zirio grants a limited, non-exclusive, non-transferable, revocable license to use the App solely for its intended purpose: managing logistics, shipments, and supply chain operations.
- Use the App only for lawful purposes
- Do not interfere with the App or other users' access
- Maintain accurate account information at all times
Bank Account Information
The App may display account details provided by intermediaries for informational purposes only. Zirio does not process payments, hold funds, or act as a financial intermediary. All transactions occur outside the App between users and third parties.
User Accounts
Some features require account creation. You are responsible for safeguarding your credentials and for all activities under your account. You must notify Zirio immediately of any unauthorized use.
Privacy & Location Data
Our Privacy Policy governs data collection and use. By using the App, you consent to it.
- Location collected only during active shipments
- May be collected in the background depending on device settings
- Not collected continuously when the App is idle
- Shared only with authorized carriers, shippers, or partners as required
No Accuracy Guarantee
Location data may be inaccurate, delayed, or unavailable. Zirio does not guarantee the accuracy, completeness, or reliability of any location or tracking data.
Subscriptions & Payments
Some features may require subscriptions or in-app purchases. Fees are processed through your App Store account. Subscriptions auto-renew unless canceled at least 24 hours before the end of the billing period.
Intellectual Property
All content, trademarks, logos, and software are owned or licensed by Zirio. You may not copy, modify, distribute, or reverse-engineer any part of the App without prior written consent.
Safe Use & Driving Responsibilities
8.1 — No Use While Driving
The App must not be actively used, handled, or interacted with while operating a vehicle. Any interaction must only occur when the vehicle is safely stopped.
8.2 — Passive Use Only
The App is designed for passive use during vehicle operation (e.g., background tracking). Active interaction while driving is strictly prohibited.
8.3 — Not a Navigation Tool
The App is not a navigation system, driver assistance system, or safety tool. It must not be used to make driving decisions or route choices.
8.4 — Legal Compliance
Users are solely responsible for complying with all applicable traffic laws and regulations. Zirio does not monitor, control, or enforce driver behavior.
8.5 — Assumption of Risk
You acknowledge that operating a vehicle involves inherent risks. Any use of the App in connection with vehicle operation is done at your own risk.
No Liability for Driving Incidents: Zirio shall not be liable for any accidents, injuries, damages, deaths, fines, or losses arising from vehicle operation, driver behavior, or use of the App while driving. Zirio has no duty to monitor drivers, ensure safe driving, or prevent accidents.
Independent Parties
Zirio is a technology provider only. Nothing in these Terms creates any employment, agency, or joint venture relationship.
- Zirio is not a carrier, broker, or shipper
- Zirio does not employ drivers
- Zirio does not control or direct transportation operations
- All drivers act independently or under their respective carriers
Indemnification
10.1 — General Indemnification
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Zirio Logistics Corp, its affiliates, officers, directors, employees, agents, and contractors from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
(a) your access to or use of the App;
(b) your violation of these Terms;
(c) your violation of any applicable law or regulation;
(d) any data, content, or information submitted through the App;
(e) your relationship with any third party, including carriers, brokers, shippers, or drivers.
10.2 — Carrier Responsibility
If you are a carrier, fleet owner, or logistics company, you expressly acknowledge and agree that you are solely responsible for:
(a) all drivers operating under your authority;
(b) the operation, condition, and safety of your vehicles;
(c) compliance with all transportation, safety, and labor laws;
(d) training, supervision, and conduct of your drivers.
You further agree to indemnify, defend, and hold harmless Zirio from any claims arising out of or related to driver conduct, vehicle operation, accidents, injuries, or transportation services performed under your authority.
10.3 — Driver Responsibility
If you are an individual driver, you agree that you are solely responsible for your conduct, driving behavior, and compliance with all applicable laws. You agree to indemnify and hold harmless Zirio from any claims arising from your operation of a vehicle or misuse of the App.
10.4 — No Control by Zirio
You acknowledge that Zirio does not control, supervise, or direct drivers, vehicles, routes, or transportation operations. Zirio is a technology platform only.
10.5 — Defense and Cooperation
Zirio reserves the right to assume the exclusive defense and control of any matter subject to indemnification. You agree to cooperate fully in the defense of any such claim.
10.6 — Survival
This indemnification obligation shall survive termination of these Terms and your use of the App.
Disclaimers
The App is provided "AS IS" and "AS AVAILABLE." Zirio makes no warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
We do not guarantee uninterrupted service, error-free performance, or accuracy of data.
Limitation of Liability
To the maximum extent permitted by law, Zirio shall not be liable for any indirect, incidental, or consequential damages; loss of profits, data, or business; personal injury or death; or property damage arising out of or related to the use of the App.
Termination
Zirio may suspend or terminate your access to the App at any time, without notice, if these Terms are violated.
Changes to Terms
We may update these Terms at any time. Continued use of the App constitutes acceptance of the updated Terms.
Governing Law
These Terms are governed by the laws of the State of Texas, USA, without regard to conflict of law principles.

Account & Data Deletion
Users may request deletion of their account and associated personal data by contacting:
Your request must include your full name, email associated with the account, company or fleet name (if applicable), and a confirmation of the deletion request.
Zirio will delete personal data, uploaded documents, location data, and usage data within 30 days, subject to legal or compliance obligations.
